Acting as Company Secretary
 
The majority of developments that we manage have a legal structure that includes a Residents' Management Company, a Private Limited Company constituted in accordance with the Companies Acts, which residents become members of when they buy a property on the development.  The Limited Company must comply with the requirements of the Companies Acts in the same way as any other Limited Company. 
 
This requires Directors and a Company Secretary to be appointed.  [From 6th April 2008 a Private Company does not have to have a Company Secretary, but this does not relieve the company of it's obligations to comply with the matters normally dealt with by a Company Secretary].
 
The primary responsibilities of the Company Secretary are to:-
  • Prepare and file an Annual Return form.
  • Organise and call an Annual General Meeting [Unless the requirement for such has been dispensed with by a resolution of the Company].
  • Ensure that statutory information is filed promptly.
  • Ensure that statutory accounts for the Company are filed at Companies House, at least annually.  The accounts must be filed within 9 months of the year end with financial penalties for late filing.
  • Maintain the Company's statutory books, comprising a Register of Members, Allotments, Transfers, Officers (Directors and Secretary), Charges and Director's Interests.
  • Preparing and issuing Share Certificates when a new member joins the Company.

Where a volunteer cannot be found from among the residents, we can act as Company Secretary, a role we undertake for the majority of developments that we manage.  A seperate fee is charged for this service.
